Welcome to Expedite Informatics. These Terms and Conditions govern your use of our website and services. By accessing or using our services, you agree to comply with and be bound by these terms. If you do not agree with any part of these terms, please refrain from using our services.

1. Acceptance of Terms

By using our website and services, you accept and agree to be bound by these Terms and Conditions, including any additional terms and policies referenced herein.

2. Definitions

  • “Company” refers to Expedite Informatics, a company registered under the laws of India.
  • “Services” refers to all services provided by the Company, including but not limited to software development, IT consulting, data management, support services, and vendor services sourced from cloud marketplaces.
  • “User” refers to any individual or entity accessing the Company’s services.
  • “Vendor Services” refers to services or products provided by third-party vendors available through cloud marketplaces.
  • “User Content” refers to any data, text, or information submitted by the User to the Company in connection with the Services.
  • “Privacy Policy” refers to the Company’s policy governing the collection, use, and protection of User data.

3. Services Provided

Expedite Informatics offers a variety of services tailored to meet the needs of our clients, including Vendor Services from cloud marketplaces. Specific services will be detailed in individual service agreements.

4. Vendor Services Terms

  • Selection of Vendors: The Company may partner with various vendors to provide services through cloud marketplaces. Users acknowledge that the quality, availability, and performance of these Vendor Services are subject to the terms set forth by the respective vendors.
  • Responsibility: Expedite Informatics is not liable for any issues arising from the use of Vendor Services, including but not limited to service interruptions, performance issues, or disputes with vendors.
  • Compliance: Users agree to comply with any additional terms and conditions set forth by the vendors when using their services.

5. User Responsibilities

Users agree to:

  • Provide accurate and up-to-date information.
  • Use the services only for lawful purposes and in compliance with all applicable laws, including the Information Technology Act, 2000, and other relevant regional regulations.
  • Not engage in any activities that may disrupt the service or compromise security, including but not limited to harassment, spamming, or illegal activities.
  • Assume responsibility for any User Content submitted and ensure it does not violate any applicable laws or third-party rights.
  • Maintain the confidentiality of their account information and notify the Company immediately of any unauthorized use.

6. Payment Terms

  • Vendor Services: Payments for all Vendor Services must be made in advance, as specified in the service agreement with the vendor.
  • Other Services: Payments for other services will be made according to the terms specified in the individual service agreements.
  • Payment Method: Payments shall be made using the methods provided by Expedite Informatics.
  • Late Payments: Late payments for other services may incur additional charges as specified in the service agreement. Services may be suspended until all outstanding payments are made.

7. Credit Note Policy

  • Vendor Services: Due to the nature of Vendor Services, no refunds will be issued once payment has been made, unless specified in the vendor’s terms.
  • Other Services: If a service issue occurs and a refund is warranted, a credit note (CN) will be generated and issued to the User. Users must submit a written request within 14 days of service delivery to initiate this process.

8. Intellectual Property

All content, trademarks, and other intellectual property related to Expedite Informatics are owned by the Company. Users may not reproduce, distribute, or use any material without prior written consent from the Company.

9. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary or confidential information exchanged during the term of service, in compliance with applicable laws.

10. Limitation of Liability

To the fullest extent permitted by law, Expedite Informatics shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or Vendor Services. Our liability shall be limited to the amount paid for the services in the six months preceding the claim, or as permitted under Indian law, including the Indian Contract Act, 1872, and the Sale of Goods Act, 1930.

11. Indemnity

Users agree to indemnify and hold harmless Expedite Informatics, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses arising out of their use of the services or violation of these Terms and Conditions.

12. Subcontracting

Subcontracting of any services provided by Expedite Informatics is not allowed. The User must perform all obligations under these Terms and Conditions directly and may not delegate any duties or assign any rights to any third party without the prior written consent of the Company.

13. Force Majeure

Expedite Informatics shall not be liable for any failure to perform its obligations under these Terms and Conditions if such failure results from any cause beyond the Company’s reasonable control, including, but not limited to, natural disasters, strikes, war, or government action.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms and Conditions shall be resolved through amicable negotiations. If a resolution cannot be reached, the dispute will be settled through arbitration in Pune, India, in accordance with the Arbitration and Conciliation Act, 1996.

15. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Pune, India.

16. Digital Communication

All communications under these Terms and Conditions will be conducted electronically, including the use of digital signatures. Users consent to receive all notices, agreements, disclosures, and other communications in electronic form.

17. Customer Support

Users may contact customer support at support@expediteinformatics.com for inquiries, technical assistance, or feedback. Support is available during business hours Monday – Friday (9:00 – 18:00).

18. User Conduct

Users must not engage in any conduct that is harmful, offensive, or otherwise objectionable, including but not limited to harassment, spamming, or unauthorized access to other users’ accounts.

19. Service Level Agreement (SLA)

Where applicable, Expedite Informatics may provide specific service level expectations, including uptime guarantees or response times for support inquiries, detailed in the relevant service agreements.

20. Data Ownership and Retention

Users retain ownership of their data submitted to the Company. The Company will retain user data as necessary for the provision of services and as required by law.

21. Termination Clause

Either party may terminate these Terms and Conditions by providing written notice to the other party. Upon termination, all rights and obligations will cease, except for those provisions that expressly survive termination.

22. Modification of Terms

Expedite Informatics reserves the right to modify these Terms and Conditions at any time. Users will be notified of any significant changes via email or through our website. Continued use of services constitutes acceptance of the revised terms.

23. Limitation on Use

Users must be at least 18 years of age to use our services. By using our services, you represent that you meet this requirement.

24. No Waiver

The failure of Expedite Informatics to enforce any provision of these Terms and Conditions shall not be deemed a waiver of such provision or any other provision.

25. Assignment Rights

Users may not assign their rights or obligations under these Terms and Conditions to any third party without the prior written consent of the Company.

26. Feedback and Reviews

Users may provide feedback and reviews about the services. By submitting feedback, users grant the Company a non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, and publish such feedback.

27. Data Breach Policy

In the event of a data breach, Expedite Informatics will notify affected users as required by law and take reasonable steps to mitigate the breach’s impact.

28. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will remain in full force and effect.

29. Entire Agreement

These Terms and Conditions constitute the entire agreement between the user and the Company regarding the Services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
